1. Definitions

For purposes of these Terms, the following definitions apply:

• Client means any individual, company, or organization that engages TGIC for computer integrated systems design or related services;
• Services means all professional, scientific, and technical services offered by TGIC, including but not limited to computer integrated systems design, systems architecture consulting, cloud and enterprise infrastructure design, intelligent automation, systems integration, cybersecurity architecture, and data systems and analytics;
• Site means the web property located at https://www.tgic.buzz/ and all associated subdomains and pages;
• Content means all text, graphics, images, software, data, documentation, and other materials available on or through the Site;
• Agreement means these Terms of Service, together with any executed service agreements, statements of work, and privacy policies that govern specific engagements.

2. Acceptance and Eligibility

By using the Site, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into binding contracts. If you are using the Site on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. The Site and Services are intended for business and professional use. If you do not meet these eligibility requirements, you must not access or use the Site.

3. Services Description

TGIC LLC provides computer integrated systems design and related professional, scientific, and technical services. Our core service areas include:

• Computer Integrated Systems Design: Comprehensive architecture and implementation of integrated hardware and software systems for enterprise clients across multiple industries;
• Cloud and Enterprise Architecture: Strategic design, migration, and optimization of cloud-native, hybrid, and on-premises infrastructure solutions;

• Systems Integration: Unification of legacy and modern technology stacks through middleware, APIs, and event-driven architectures;

The specific scope, deliverables, timelines, and fees for each engagement will be set forth in a separate statement of work or service agreement executed by both parties. These Terms govern all such engagements unless expressly superseded by provisions in a specific service agreement.

4. Intellectual Property Rights

All Content on the Site, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, is the property of TGIC LLC or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws. The compilation of all Content on the Site is the exclusive property of TGIC LLC.

Upon full payment for Services, TGIC grants the Client a non-exclusive, non-transferable license to use the deliverables produced under the applicable service agreement for the Client's internal business purposes. TGIC retains all intellectual property rights in its methodologies, tools, frameworks, pre-existing materials, and generalized knowledge and expertise. Nothing in these Terms or any service agreement transfers ownership of TGIC's intellectual property to the Client.

5. Use of the Site

You are granted a limited, revocable, non-exclusive license to access and use the Site for lawful purposes related to evaluating and engaging our Services. You agree not to:

• Use the Site in any way that violates applicable federal, state, or international laws or regulations;
• Engage in any conduct that restricts or inhibits any other user from using or enjoying the Site;
• Attempt to gain unauthorized access to any portion of the Site, its servers, or any systems connected to the Site;
• Introduce any viruses, trojan horses, worms, logic bombs, or other malicious or technologically harmful material;
• Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Site or its Content without express written permission from TGIC;

6. Service Agreements and Payment

All Services are provided pursuant to a written service agreement or statement of work executed by both TGIC and the Client. Each agreement will specify the scope of work, deliverables, fees, payment schedule, and any project-specific terms. Payment terms are net thirty (30) days from the date of invoice unless otherwise specified. Late payments may incur interest at the rate of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law, whichever is less. TGIC reserves the right to suspend performance of Services until all overdue amounts are paid in full.

7. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary information disclosed during the course of any engagement. Confidential information includes technical data, business strategies, system architectures, trade secrets, client lists, and any other information designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure. This confidentiality obligation survives the termination of these Terms and any service agreement for a period of five (5) years, or indefinitely for trade secrets. Confidential information does not include information that is or becomes publicly available without breach of this section, was known to the receiving party prior to disclosure, or is independently developed without use of the disclosing party's confidential information.

8. Limitation of Liability

To the maximum extent permitted by applicable law, TGIC LLC and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or business interruption, arising out of or in connection with these Terms, the Site, or the Services, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if TGIC has been advised of the possibility of such damages. In no event shall TGIC's total liability to you for all claims arising from or relating to these Terms or the Services exceed the total amount paid by you to TGIC in the twelve (12) months preceding the event giving rise to the claim.

9. Disclaimer of Warranties

The Site and all Content are provided on an as-is and as-available basis without any warranties of any kind, either express or implied. TGIC expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. TGIC does not warrant that the Site will be uninterrupted, secure, error-free, or free of viruses or other harmful components. While we strive to provide accurate and up-to-date information, we make no representation or warranty regarding the accuracy, completeness, or timeliness of any Content on the Site. Some jurisdictions do not allow the exclusion of certain warranties, so the above exclusions may not apply to you.

10. Indemnification

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall first be resolved through good-faith negotiation between the parties. If negotiation does not resolve the dispute within thirty (30) days, the dispute shall be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall be held in Sarasota County, Florida. Judgment on the arbitration award may be entered in any court having jurisdiction. Notwithstanding the foregoing, TGIC may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

13. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

14. Entire Agreement

These Terms, together with the Privacy Policy and any executed service agreements or statements of work, constitute the entire agreement between you and TGIC LLC regarding your use of the Site and engagement of our Services. These Terms supersede all prior and contemporaneous understandings, representations, and agreements, whether written or oral. No modification of these Terms shall be effective unless in writing and signed by an authorized representative of TGIC LLC.

15. Changes to Terms
